Welcome to the RCE Consulting website (this “Site”). Use of this Site is conditioned on the acceptance, without modification, of these terms and conditions (“Terms of Use”). By clicking “I have read and agree to the website terms and conditions” at the bottom of the Checkout page, You acknowledge that You have read and understand these Terms of Use and agree to be bound by them. If You do not agree to these Terms of Use, do not click on “I Accept,” in which event you will not be provided with access to the proprietary Site Content or Site Elements. RCE Consulting reserves the right, at its sole discretion, to modify these Terms of Use at any time, such modification effective immediately upon notice to you.
Parties
These Terms of Use are binding on You. “You” means either: (a) the individual user of this Site (“User”), or (b) if User is acting on behalf of User’s employer, client, or another third party (such employer, client or third party, a “Principal”), then the User and such Principal. If User is using this Site on behalf of a Principal, then (a) User represents and warrants that User has the authority to bind, and has bound, such Principal to these License Terms; and (b) User agrees to be jointly and severally liable for any breach of these License Terms by Principal.
Intellectual Property
This Site is owned and operated by RCE Consulting LLC. All of the content elements displayed and/or downloadable on this Site, including manuals, video programs, presentation slide decks, evaluation instruments and other written, recorded, or graphic materials (collectively, the “Content”), and all of the features of this Site, including the training methods and techniques embodied herein (together with the Content, collectively, the “Site Elements”) are the exclusive property of RCE Consulting. The Content is protected by state and federal laws, including copyright, trademark, trade dress and other intellectual property laws and treaties. Any reproduction or adaptation of the Content or any portion of it by any means without the prior written consent of RCE Consulting, LLC, is unlawful and subjects the offender to civil damages and criminal fines and incarceration.
The other Site Elements are protected by federal and state trade secret laws and laws prohibiting unfair competition and unfair business practices. You are being provided with access to the Content and the Site Elements only on condition that you agree to use the Content and Site Elements only in the course of Your individual or group training and not for the purpose of training other instructors in competition with RCE Consulting. Rules Regarding Use of the Site
This Site and Site Elements are intended solely for Your use in connection with safety training provided by RCE Consulting. You shall not use this Site or any Site Elements for any purpose not related to Your business with RCE Consulting.
You shall not use the Site in a way that violates any laws, violates or infringes on anyone’s rights, or interferes with the Site or any feature on the Site or any other user’s use of the Site.
Disclaimer of Warranty; Limitation of Liability
The information and the recommendations provided in these regulatory compliance and radiation safety training materials are intended to provide information only and not to constitute, nor should they be considered to constitute, legal advice. RCE Consulting shall not be held liable for any errors or omissions in the Content or the Site Elements. Regulatory requirements change frequently; therefore, it is your responsibility to ensure continuing compliance with the most current and specific Federal and State regulatory requirements. You agree that neither RCE Consulting nor its members, or employees will be liable for damages of any kind, whether direct, indirect, compensatory, consequential, exemplary, special, incidental, or punitive, including damages for lost profits, revenue, income, goodwill, use, data, or other intangible losses or damages, arising out of or related to your use of the site or the site elements, even if RCE Consulting has been informed of the possibility of such damages.
Privacy
All account information is encrypted. Your account data is used only in support of the services and products provided by RCE Consulting, LLC and will not be shared with third parties.
Governing Law; Jurisdiction; Disputes
These Terms of Use will be governed and construed in accordance with the laws of the State of Ohio without regard to its conflicts of law provisions. You agree to submit to the jurisdiction of the state and federal courts located in Hamilton County in the State of Ohio. You agree not to bring any action relating to the use of this Site or the interpretation of these Terms of Use in any court in any jurisdiction other than the state and federal courts located in Hamilton County, State of Ohio.
No Waiver
The failure of RCE Consulting at any time to require performance by You of any provision of these Terms of Use shall in no way affect the right of RCE Consulting to enforce the such provision, nor shall the waiver of any breach by You of any provision herein constitute a waiver of any succeeding breach.
